1. Acceptance of terms

The Service is offered subject to acceptance without modification of all of the Terms of Use, and all other operating rules, policies and procedures that may be published from time to time on the Site by Company, each of which is incorporated by reference and each of which may be updated by Company from time to time. In addition, some services offered through the Service may be subject to additional terms and conditions promulgated by the Company from time to time; your use of such services is subject to those additional terms and conditions, which are incorporated into these Terms of Use by this reference.

The Site and other aspects of the Service are protected by United States copyright, trade dress, patent, and trademark laws, international conventions, and all other relevant intellectual property and proprietary rights, and applicable laws. Except for your User Submissions, all aspects of the Service, including all intellectual property rights therein, belong to the Company or its affiliates and/or third party licensors.

As long as you comply with the terms of this Agreement, Company grants you a limited, revocable, non-exclusive, non-assignable, non-sublicensable right to access and use the Service as it is intended to be used and in accordance with this Agreement and applicable law. We grant you no other rights, implied or otherwise.

2. Modification of terms

Company may, in its sole discretion, modify or revise these Terms of Use. We will attempt to notify you when major changes are made to this document if we had received your consent to receive our newsletter. Company will exercise commercially reasonable business efforts to provide notice to You of any material changes to this Agreement. Within fourteen (14) business days of posting changes to this Agreement (or fourteen (14) business days from the date of notice, if such is provided), they will be binding on You. If You do not agree with the changes, You should discontinue using the Services. If You continue using the Services after such fourteen-business-day period, You will be deemed to have accepted the changes to the terms of this Agreement.

3. User submissions and content creations

You own all of the content and information that you post on the Site and submit to any part of the Service.

The Service may provide users with the ability to add, create, upload, submit, distribute, collect, or post (“Submitting” or “Submission”) content, explanations, presentations, videos, audio clips, written comments, data, text, photographs, drawings, software, scripts, graphics, or other information to the Service (collectively, the “User Submissions”). You retain ownership of all your rights in and to your User Submissions, including any and all intellectual property rights in your User Submissions, and uploading User Submissions to the Service do not transfer any ownership rights. However, by Submitting User Submissions through the Service, you are granting the Company and its:

  • Subsidiaries
  • Affiliates
  • Successors

And assigns, a worldwide, non-exclusive, perpetual, fully paid, royalty-free, transferable license (with the right to sublicense through unlimited levels of sublicensees) to use, copy, store, transmit, modify and create derivative works of Customer Data, but only as necessary to provide the Service, Support and any Technical Services to Customer under this Agreement.

You represent and warrant, and can demonstrate to Company’s full satisfaction upon request, that you (i) own or otherwise control all rights to all content in your User Submissions, or that the content in such User Submissions is in the public domain, (ii) you have full authority to act on behalf of any and all owners of any right, title or interest in and to any content in your User Submissions to use such content as contemplated by these Terms of Use and to grant the license rights set forth above, (iii) you have the permission to use the name and likeness of each identifiable individual person and to use such individual’s identifying or personal information as contemplated by these Terms of Use; and (iv) you are authorized to grant all of the aforementioned rights to the User Submissions to Company and all users of the Service.

You represent and warrant that the use or other exploitation of such User Submissions by Company and use or other exploitation by users of the Site and Service as contemplated by this Agreement will not infringe or violate the rights of any third party, including without limitation any privacy rights, publicity rights, copyrights, contract rights, or any other intellectual property or proprietary rights.

The above licenses granted by you in User Submissions you create or submit to the Service terminate within a commercially reasonable time after you delete your User Submission from the Service, unless your User Submission has been shared with others, and they have not deleted it. When you remove or delete User Submissions from the Service, you understand and agree, however, that Explain Everything may retain, but not display, distribute, or perform, server copies of your User Submissions that have been removed or deleted.

When you share your submissions with other people, you understand that they may be able to, on a worldwide basis, use, save, record, reproduce, broadcast, transmit, share, associate it with you (i.e. your user name and profile picture) and display your content without compensating you. If you do not want others to have that ability, do not use the Services to share your content. Explain Everything does not own, control, verify, pay for, endorse or otherwise assume any liability for your content and cannot be held responsible for your content or the material others upload, store or share using the Service.

Accordingly, you hereby do and shall grant to each User and to the public a worldwide, non-exclusive, revocable license to access, view and publicly perform your shared User Submissions. This license ends when you delete the presentation or your account is closed (either by you or by us), except to the extent that the content has been shared with others and they have not deleted it.

4. Use of Service

Company hereby grants you permission to use the Service as set forth in this Terms of Use, provided that: (i) you will not copy or distribute any part of the Service in any medium without Company’s prior written authorization (except distributions of User Submissions to various third party sites as permitted by the Service); (ii) you will not alter or modify any part of the Service other than as may be reasonably necessary to use the Service for their intended purpose and (iii) you will otherwise comply with the terms and conditions of these Terms of Use.

The Service can be used by both adults, parents of children or guardians. Users between 13 and 18 may utilize the Service under an account established by their parent or legal guardian, with such parent or guardian’s approval. Users must be at least 13 years of age or older to use the Service or must be able to provide verifiable parental consent for using the Service to an Group Account Administrator. By using the Service you represent that you are 13 or older, and that you will not permit a minor under the age of 13 to use the Service, your account, or otherwise interact with the Service without verifiable parental consent. The Company will never knowingly solicit or accept personally identifiable information or other content from a user or visitor who is known to be under 13 years of age. Please follow best practices for leaving personally identifiable information out of the usernames and email addresses of persons under 13 years of age.

The Service allows to interact with other users during collaborative sessions. Explain Everything provides admin level controls for content and experience. Sessions access is fully controlled by the user by sharing link with participants, therefore we do not provide abuse or content reporting. Projects and recordings from the session that are shared publicly using our Service are screened. Explain Everything never screens private screencasts, or screencast shared within a group or institution that don’t contain public link. Each group admin can filter or block projects shared by members of his group using admin control panel.

We do our best to provide you with the highest quality of our services. For your comfort, we created several pricing plans for educational and business purposes. Educational use (the Teacher Plan, the Class Plan and the School Plan) means that you are not permitted to use our services for your commercial activity. The Teacher plan was tailored for an individual teacher, so only individual use is allowed. The Class Plan and the School Plan are intended for groups. Business use (the Tutors & Professionals Plan) means that you are permitted to use our services for your commercial activities. Our Free Plan is available for everyone after registration, but it contains some usage and functionality limitations. The Free Plan was created for an individual user, commercial use is prohibited. Explain Everything is not an educational agency or a school official under the Family Educational Right to Privacy Act (FERPA) and, therefore, is not subject to FERPA.

3. User submissions and content creations

You own all of the content and information that you post on the Site and submit to any part of the Service.

The Service may provide users with the ability to add, create, upload, submit, distribute, collect, or post (“Submitting” or “Submission”) content, explanations, presentations, videos, audio clips, written comments, data, text, photographs, drawings, software, scripts, graphics, or other information to the Service (collectively, the “User Submissions”). You retain ownership of all your rights in and to your User Submissions, including any and all intellectual property rights in your User Submissions, and uploading User Submissions to the Service do not transfer any ownership rights. However, by Submitting User Submissions through the Service, you are granting the Company and its:

  • Subsidiaries
  • Affiliates
  • Successors
